These Terms of Service ("Terms") govern your use of ClearCut API, including the website at https://clearcutapi.com, the dashboard, the API and related services (together, the "Service"), provided by [Company legal name] ("ClearCut", "we", "us"). By creating an account, using an API key or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you agree on its behalf and confirm you have authority to do so.

1. The Service

ClearCut removes backgrounds from images and videos and provides related editing, composition, batch, workflow and AI-assisted planning features through a web dashboard and an API. Features may differ by plan, may be in beta, and may change over time. We will give reasonable notice before removing a material paid feature.

2. Accounts

  • You must be at least 16 years old and able to form a binding contract.
  • You can sign up with an email and password or with Google. Keep your login details secure and tell us promptly at support@clearcutapi.com if you suspect unauthorized access.
  • You are responsible for activity in your account and your workspaces, including actions of team members you invite and requests made with your API keys.
  • Information you give us must be accurate and kept up to date.

3. API keys

API keys are shown only once and are stored by us only in hashed form. Keep them secret: don't embed them in public code, client-side apps or repositories. You are responsible for usage and charges made with your keys. You can restrict keys by domain or IP address, set limits and revoke them at any time in the dashboard.

4. Plans, credits and payment

  • Credits. Processing uses credits at the rates shown on the pricing page and in the dashboard. A cost estimate is shown before paid work runs where possible. Credits for jobs that fail because of an internal error are returned automatically.
  • Plans. Paid plans renew monthly until cancelled and add the plan's included credits each billing period. You can cancel at any time; cancellation takes effect at the end of the current period.
  • Credit packs are one-time purchases.
  • Credits do not expire while your account is active. They have no cash value, cannot be transferred between accounts, and are lost when the account is deleted.
  • Payment. Payments are processed by Paddle.com, our reseller and Merchant of Record, which handles billing, invoicing and sales tax. Paddle's buyer terms also apply to your purchase. Prices are in US dollars and may exclude taxes, which are added at checkout where required.
  • Price changes. We may change prices with at least 30 days' notice for existing subscriptions. Changes take effect at your next renewal.
  • Refunds are covered by our Refund Policy.
  • Enterprise. Custom plans are governed by a separate written agreement, which takes precedence over these Terms where they conflict.

5. Your content

"Your Content" means the images, videos, text, product data and other material you upload or submit, and the results the Service produces from them.

  • You keep all rights to Your Content. We claim no ownership of your inputs or outputs.
  • You grant us a limited licence to host, process, transform and transmit Your Content only to provide, secure and support the Service for you, including through the service providers listed in our Subprocessors page.
  • We do not use Your Content to train machine-learning models.
  • You confirm you have the rights and any consents needed for Your Content, including permission from people who appear in it, and that processing it does not infringe anyone's rights or break the law.
  • Uploads and results are kept for limited periods and then deleted automatically, as described in our Privacy Policy. Download anything you need to keep.

6. AI features

Some features use AI models, for example AI-generated backgrounds, AI erase, the Creative Assistant, scene and copy suggestions, and explanations.

  • AI output can be inaccurate, incomplete or similar to output generated for others. Review it before you rely on or publish it, especially product descriptions, claims and marketing copy.
  • AI plans and suggestions never run or publish anything until you approve them.
  • Automated quality checks and marketplace presets are guidance, not a guarantee that a marketplace or platform will accept an image.
  • Where a feature is labelled as AI-generated, keep the label or otherwise disclose AI use where the law or a platform's rules require it.

7. Acceptable use

You must follow our Acceptable Use Policy. We may suspend or limit access that violates it, or that threatens the security, integrity or availability of the Service, and will tell you when it is appropriate to do so.

8. Integrations and third-party services

If you connect a third-party service, such as a Shopify store, you authorize us to access it as needed for the features you use. Your use of that service is governed by its own terms. Content is published to a connected store only after an approval step in your workflow, and you are responsible for what you choose to publish.

9. Availability and changes

We work to keep the Service available and fast but do not guarantee uninterrupted or error-free operation, except as agreed in a separate Enterprise agreement. Rate limits, file-size limits and fair-use limits apply as shown in the documentation and your plan. Live service status is published at /status.

10. Suspension and termination

You can stop using the Service and delete your account at any time in Settings. We may suspend or terminate access if you materially breach these Terms, fail to pay, or if required by law, with notice where reasonably possible. On termination, your right to use the Service ends and Your Content is deleted as described in the Privacy Policy. Sections that by their nature should survive will survive.

11. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes rights you have as a consumer that cannot be excluded by law.

12. Limitation of liability

To the maximum extent permitted by law:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill;
  • our total liability arising out of or relating to the Service in any 12-month period is limited to the amounts you paid us for the Service in that period, or US$100 if you used only free features.

These limits do not apply to liability that cannot be limited by law, or to fraud or wilful misconduct.

13. Indemnity

You will defend and indemnify ClearCut against third-party claims arising from Your Content or your breach of these Terms or the Acceptable Use Policy, and pay resulting damages and reasonable costs, provided we notify you promptly and let you control the defence.

14. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email or in the dashboard before they take effect. Continuing to use the Service after that date means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of [governing-law jurisdiction, e.g. the State of Delaware, USA], excluding its conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of [courts with jurisdiction, e.g. the state and federal courts in Delaware], except that either party may seek urgent injunctive relief in any competent court. If you are a consumer, you may also have the right to bring proceedings in your country of residence.

16. General

These Terms, together with the policies they reference, are the entire agreement between you and ClearCut about the Service. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. English is the governing language of these Terms.
